Terms of Service

1. What VYZAR is

VYZAR ("VYZAR", "we", "us") provides an AI-powered conversational assistant ("Service") that subscribers ("Customer", "you") install on their websites and mobile applications.

2. License & permitted use

Subject to these Terms and payment of all fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service solely for your own business on the websites and applications that you own or operate.

3. Reselling and white-labeling are NOT permitted

You may not, and shall not permit any third party to:

Resell, sublicense, or redistribute the Service or any portion thereof to third parties;
Repackage, rebrand, white-label, or otherwise present the Service as your own product or as a competing service;
Use the Service to provide a substantially similar service to third parties as a managed service, agency offering, or otherwise;
Permit any party other than the contracting Customer to access, embed, or operate the Service on their own properties without each such party holding their own VYZAR subscription.

Each end-customer who wishes to use VYZAR on their own websites or applications must hold a separate VYZAR subscription in their own name.

4. Free trial

New subscribers receive a 3-day free trial. A valid payment method is required at signup but is not charged during the trial. If you cancel before the trial ends, you will not be charged. If you do not cancel, your subscription begins automatically at the end of the trial at the plan you selected.

5. Subscription, billing, and cancellation

Subscriptions are billed monthly or annually via Stripe.
You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period.
Fees are non-refundable except where required by law.
Plan limits (e.g. monthly AI messages, number of sites/apps) are enforced. Exceeding limits may result in additional charges or service throttling.

6. Acceptable use

You agree not to use the Service to:

Engage in unlawful, deceptive, harmful, or abusive activity;
Send spam, phishing content, or unsolicited bulk messages;
Reverse-engineer, decompile, or attempt to extract the source code of the Service;
Interfere with the integrity, security, or performance of the Service;
Use the Service in any application regulated by HIPAA, GLBA, or similar regimes without first signing a separate agreement with us.

7. Your content & data

You retain ownership of conversation transcripts, knowledge-base content, and leads captured through your Service instance. We process this data solely to provide the Service and improve reliability. We do not train AI models on your data. You may export or delete your data at any time from your dashboard.

8. AI output

The Service uses third-party large language models. Outputs may contain inaccuracies. You are responsible for reviewing AI responses and for any consequences of acting upon them. You agree not to present AI output as professional (legal, medical, financial) advice.

9. Termination

We may suspend or terminate your access at any time, with or without notice, for breach of these Terms — including unauthorized reselling or white-labeling. Upon termination, your API keys will be revoked and your widget will stop functioning.

10. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied.

11. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to us in the 12 months preceding the claim.

12. Changes

We may update these Terms. Material changes will be communicated by email or in-product notice at least 14 days before taking effect.
